ADDITIONAL TERMS OF SERVICE
AFFILIATE MARKETING SERVICES
The following additional terms of service apply specifically to the FastSpring Affiliate Marketing Services (“Affiliate Marketing Services Terms of Service”). These Affiliate Marketing Services Terms of Service incorporate by reference the FastSpring Terms of Service for Vendors (the “FastSpring Terms of Service”) which also may be amended from time to time.
SECTION 1. AFFILIATE MARKETING SERVICES.
As part of the FastSpring Service, FastSpring will provide affiliate marketing services (“Affiliate Marketing System”). Affiliate Marketing Services includes performance advertising directory and platform, utilized to launch and manage marketing campaigns with media partners and automate commission calculation and payout.
Vendor may choose to setup access to the FastSpring Affiliate Marketing System by accepting FastSpring Terms of Service for Vendors. Vendor agrees to relationships with third party marketers (“Affiliates”) that will advertise Vendor’s Products in exchange for payment on generated sales of Products (the “Affiliate Fee”). Vendor is liable for those payments of the Affiliate Fee, and authorizes FastSpring to calculate and remit payments of the Affiliate Fee owed to Affiliates for sales generated through the FastSpring Affiliate Marketing System from Vendor’s FastSpring account directly to those Affiliates.
In addition to the Affiliate Fee, Vendor agrees to pay a fee to FastSpring for using the FastSpring Affiliate Marketing System (the “Affiliate Platform Fee”). The Affiliate Platform Fees are calculated for each transaction that can be attributed to an Affiliate. The Affiliate Platform Fee is equal to the percentage stated in the Order Form of an Affiliate’s Affiliate Fee. For example: if an Affiliate has agreed to receive 20% of an attributed sale for the Affiliate Fee, the Affiliate Platform Fee for using the FastSpring Affiliate Marketing System would be 25% of that 20%. The Affiliate Fee and Affiliate Platform Fee do not include the service fee for the Purchase itself, as stated in the FastSpring Terms of Service.
